Terms of Service
Last updated: November 1, 2026
These terms apply to Wemela services when made available to you. This website provides information, estimates and inquiry drafts; it does not create accounts, sell tickets or take payments. Features described below apply only where included in your agreed event scope. An inquiry or configurator estimate does not confirm availability or create a purchase.
Your event agreement confirms the services, capacity, delivery dates, applicable taxes, exhibitor co-pay arrangements, credits and commitments for your event. Where it expressly varies these general terms, the event agreement governs that event. See our pricing and Privacy & contact pages.
1. Acceptance of Terms
These Terms of Service ("Terms") are an agreement between you and Skyflow Digital Inc. (Ontario, Canada) ("Skyflow," "Wemela," "we," "our," or "us"), which operates the Wemela platform.
By creating an account, purchasing a ticket, listing an event, or otherwise accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using Wemela on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
2. Description of Service
Wemela provides event management and ticketing services. Depending on the agreed event scope, these services may enable organizers to create event listings, sell or distribute tickets, manage check-ins, and communicate with attendees, and enable attendees to register, purchase tickets, and access event resources.
Wemela operates as a platform provider and payment facilitator. Wemela is not the organizer, host, or promoter of any event listed on the platform unless explicitly stated. Each event is independently created and managed by its organizer, who bears full responsibility for the event.
3. Eligibility and Accounts
You must be at least 13 years of age to use the Service. If you are between 13 and the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@wemela.com of any unauthorized use.
You must provide accurate and complete information when creating your account, keep your details up to date, and use the Service only as permitted by these Terms and applicable law.
4. Event Organizers
If you create or manage events on Wemela, you are an "Organizer." Organizers are independently responsible for ensuring their events comply with all applicable laws, regulations, and industry standards. Organizers must provide accurate information and honor all ticket purchases.
- You are solely responsible for the event itself, including venue selection, staffing, physical safety, accessibility accommodations, and all communications with attendees.
- You must have all necessary rights and permissions to publish event content, including images, speaker information, logos, and any audio or video recordings.
- You must define and clearly communicate your refund and cancellation policy to attendees, and honor that policy. You are responsible for compliance with applicable consumer protection laws and tax obligations (including sales tax and income tax reporting).
- You must not misrepresent any aspect of an event, including its speakers, pricing, capacity, or availability.
- You are responsible for obtaining all required permits, licenses, and insurance for your event.
5. Ticket Purchases
When you purchase a ticket through Wemela, you are entering into a direct transaction with the event organizer (and any co-hosts), not with Wemela. Wemela provides the platform infrastructure and payment processing but is not a party to the ticket contract.
Refund policies are set by individual event organizers and must be communicated at the time of purchase. All ticket sales are subject to the organizer's stated refund policy. Wemela is not responsible for event cancellations, schedule changes, or any modifications made by organizers.
Organizers may set ticket limits, attendance rules, age restrictions, and check-in requirements. You agree to comply with all reasonable event policies communicated to you at the time of purchase or prior to the event.
6. Fees and Payments
Wemela charges for platform plans and optional modules as described on our pricing page and in your agreed event scope. There is no Wemela platform fee on attendee ticket sales. Stripe’s standard processing fees apply separately. Exhibitor co-pay unlocks have their own disclosed platform fee. Wemela platform fees are non-refundable, even if a ticket is refunded by the organizer, subject to applicable law and any express refund or credit terms in your event agreement.
Stripe may impose additional restrictions, hold periods, or verification requirements on organizer accounts. If Stripe restricts an organizer's account, Wemela may be unable to process payments or provide payouts for that organizer. Wemela is not responsible for delays or holds imposed by Stripe.
7. Stripe Connect (Organizer Payouts)
Organizers receiving ticket revenue must connect a Stripe account via Stripe Connect. Your ability to receive payouts depends on completing Stripe's onboarding, identity verification, and ongoing compliance requirements. By using Stripe Connect, you also agree to Stripe's Connected Account Agreement.
Wemela does not control Stripe's decisions regarding account approval, verification status, fund holds, or payout timing. You are solely responsible for providing accurate and current information to Stripe. Wemela is not liable for any losses arising from Stripe account restrictions, delayed payouts, or account suspension by Stripe.
8. AI Features (Transcripts, Summaries, and Speaker Bios)
Wemela may offer optional AI-powered features, including generating speaker bios, event descriptions, cover images, agendas, summaries, and attendee resources (such as transcripts and key moments) from organizer-provided content.
Where AI features are included in your agreed scope, Wemela uses third-party AI providers to deliver them. Uploaded content may be sent to these providers for processing. The applicable event agreement and product privacy information describe data handling, retention, and deletion; the website Privacy & contact page describes marketing inquiries only.
- AI output may be inaccurate, incomplete, biased, or misleading. You are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing or distributing it.
- If you upload audio or video recordings for AI processing, you represent and warrant that you have all necessary rights to the recording and that you have obtained informed consent from all speakers, attendees, and other individuals whose voices or likenesses appear in the recording.
- AI-generated event resources may be restricted to ticket holders, as configured by the organizer.
- Wemela does not guarantee the availability, accuracy, or continuity of AI features and may modify or discontinue them at any time.
9. Prohibited Conduct
You agree not to use the Service for any unlawful, abusive, or harmful purpose. Violations may result in immediate suspension or termination of your account, removal of content, and forfeiture of any funds held on the platform. Prohibited conduct includes, but is not limited to:
- Violating applicable laws, regulations, or third-party rights (including intellectual property, privacy, and publicity rights).
- Hosting, promoting, or facilitating fraud, scams, pyramid schemes, or other deceptive practices.
- Publishing or distributing hate speech, harassment, threats, or content that incites violence or discrimination.
- Attempting to bypass security controls, reverse-engineer the Service, scrape data at scale, or interfere with the platform's operation.
- Uploading malware, viruses, or other harmful code, or attempting unauthorized access to other users' accounts or our systems.
- Creating fake events, inflating ticket sales, or manipulating reviews, ratings, or analytics.
- Reselling tickets obtained through the platform in violation of the organizer's policies or applicable anti-scalping laws.
10. Content, Licenses, and Intellectual Property
All content on the Wemela platform, including text, graphics, logos, user interfaces, and software, is the property of Wemela or its licensors and is protected by Canadian and international intellectual property laws.
You retain ownership of content you upload to Wemela (such as event descriptions, images, and recordings). By uploading content, you grant Wemela a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting, display, and delivery), and distribute that content solely as necessary to operate, promote, and improve the Service. This license ends when you delete the content, except for copies reasonably needed for backup or legal compliance.
If you believe content on Wemela infringes your intellectual property rights, you may submit a takedown request to hello@wemela.com with a description of the work, the location of the infringing material, and your contact information. We will review and respond to valid requests in accordance with applicable law.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEMELA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing, Wemela does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) events will occur as described by organizers; (c) organizers will fulfill their obligations to attendees; or (d) AI-generated content will be accurate, complete, or suitable for any purpose.
12. Limitation of Liability and Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEMELA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Wemela's total aggregate liability for all claims arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid to Wemela in the 12 months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
You agree to indemnify, defend, and hold harmless Wemela and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Service.
13. Suspension and Termination
We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, created risk for Wemela or its users, or if required by law. Where practicable, we will provide notice before or promptly after taking such action, along with the reason for suspension or termination.
Upon termination, your right to use the Service ceases immediately. You may request an export of your data (event listings, attendee data, transaction records) within 30 days of termination by contacting hello@wemela.com. After 30 days, we may delete your data in accordance with our Privacy Policy.
Sections that by their nature should survive termination will survive, including Sections 10 (IP), 11 (Disclaimers), 12 (Limitation of Liability), and 15 (Governing Law).
14. Changes to Terms
We may update these Terms from time to time. For material changes — such as modifications to liability, fees, or your rights — we will provide at least 30 days' notice by posting the updated Terms on this page and, where possible, notifying you by email or through the Service.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree with the changes, you must stop using the Service before the effective date.
15. Governing Law and General Provisions
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the courts located in Ontario, Canada for any disputes arising out of or relating to these Terms or the Service.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary and the remaining provisions will continue in full force and effect (severability). These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wemela regarding the Service and supersede all prior agreements. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
